Terms of Service

1. Who provides the Service

Agent Offers (the “Service”, available at agentoffers.online and through its API) is provided and operated by Active Life Hub LLC (“we”, “us”). By sending a request to the Service — through the website or the API, directly or through an automated agent acting for you — you accept these Terms. If you act for an organization or through an agent, you confirm that you are authorized to bind that organization or principal.

2. What the Service does

The Service creates, validates, publishes and serves machine-readable representations of commercial offers (“Offers”) from information a seller submits and from public sources the seller points to. It labels each field with its provenance, reports missing or conflicting information, publishes Offers the seller chooses to publish, and serves them to anyone who requests them.

3. What the Service is not

  • We are not the seller of any offered product or service, and not a marketplace, reseller, agent, broker, affiliate, referral or advertising network.
  • We are not a merchant of record, checkout provider or payment processor for purchases from sellers, and we never hold or transmit buyer funds. Buyers pay sellers directly at the seller's own endpoint.
  • Publishing an Offer is not an endorsement, certification or recommendation of the seller or its product, and does not guarantee any sale, traffic or revenue.
  • “VERIFIED” means a value was observed in a structured source at the recorded time. It is not a guarantee that the value is true, lawful or still current. “DOMAIN_CONFIRMED” means control of a domain's DNS or web server was demonstrated; it is not proof of identity, ownership or authority to contract.

4. Seller responsibilities

  • You are solely responsible for your commercial terms (prices, availability, delivery, refunds, service area, constraints) and for honouring them to buyers. The seller–buyer relationship is between you and the buyer.
  • Submit only Offers you are entitled to make. Do not create Offers that impersonate another seller or misstate another party's terms. Offers at UNVERIFIED authority are labelled as such, but that label does not permit misrepresentation.
  • Keep your Offers accurate: revise, refresh, pause or withdraw them when your terms change. Offers become STALE after their freshness period and EXPIRED after their validity date.
  • Keep your management key confidential. Anyone holding it can manage the Offer; rotate it if it may have been exposed.
  • Point the Service only at URLs you are allowed to have retrieved. The Service sends at most one unpaid request to your declared purchase endpoint per revision and never pays it.

5. Accuracy and freshness

Offers are built from your submission and from sources available at the time of each revision. Sources can be wrong, change or disappear. We do not monitor sources between revisions; an Offer's status reflects its recorded timestamps. Buyers and their agents must check an Offer's status and the seller's live terms before purchasing.

6. Fees and payment

Creating an Offer and each later revision or refresh costs the price shown at /pricing and in the payment requirement at the time of the request (currently 0.049 USDC), paid in USDC on Base mainnet using the x402 protocol. The price is fixed before you authorize payment. Payment is settled in the same request after the revision has been built and stored; if settlement fails, nothing is charged and nothing is stored. A revision is charged whether or not its quality report says the Offer is ready for agents. Previews, publishing, pausing, withdrawing, domain-authority checks, exports and reads are free. Blockchain transactions are irreversible; network fees and wallet behaviour are outside our control.

7. Refunds

Because a paid revision is delivered in the same response that settles it, payments are generally not refundable. If you were charged and did not receive the revision (for example because of a settlement outcome reported as unknown), contact us with the payment reference and we will investigate and, where the charge is confirmed without delivery, refund it or deliver the revision.

8. Acceptable use

  • No unlawful, deceptive, fraudulent or infringing Offers; no Offers for goods or services that are illegal where offered.
  • No attempts to use the Service to reach private networks, to scan or attack third parties, or to overload the Service or seller endpoints.
  • No attempts to forge identifiers, keys, signatures or payments.

We may refuse, pause, withdraw or remove any Offer, or restrict access, where we reasonably believe these Terms are breached, an Offer misrepresents a seller, or we are required to by law.

9. Retention and availability

Unpublished drafts are deleted 30 days after their last change; withdrawn Offers 90 days after withdrawal; expired Offers 90 days after their validity ends; Offers left stale for 180 days are deleted. Details are in the Privacy Policy. The Service is provided on an “as available” basis and may be interrupted, changed or discontinued.

10. Intellectual property

You keep all rights in the content you submit and in your products, names and marks. You grant us a non-exclusive, worldwide, royalty-free licence to store, process, reformat, sign, publish and serve that content as part of your Offers for as long as they are retained. The Service, its software, schema documentation and website are ours. You may copy and host the Offer documents we generate for you, including on your own domain.

11. Disclaimers

To the fullest extent permitted by law, the Service and all Offers are provided “as is”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant the accuracy of any seller's terms or of any public source.

12. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost sales or lost data, or for any transaction between a buyer and a seller. Our total liability for any claim relating to the Service is limited to the amounts you paid us for the Service in the three months before the claim arose. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the extent permitted.

13. Changes

We may update these Terms. The effective date above changes when we do. Prices apply as stated in the payment requirement at the time of each request.
